For many directors, and their advisors, the introduction of the extensive provisions of the Companies Act 2006 was rather unwelcome.  Instead of knowing roughly where they stood, the new Act and, in particular, its introduction of derivative claims, means both practitioners and directors need an accessible guide to the new law: Directors: Law and Practice provides such a guide.

Written by an experienced company law practitioner, Directors: Law and Practice has twenty-two chapters covering topics like accounting, competition law, corporate social responsibility, appointment, disqualification, directors' duties, employment terms, loans, health and safety, insolvency, powers, minority shareholder claims and takeovers.  It also has four appendices including a table showing the implementation of the Companies Act 2006 (which is very welcome), private companies information and the new Tables A to F.

Directors: Law and Practice adopts a very practical style by using short and snappy sentences and bullet points to make the law easier to follow: this is an excellent approach.  The author also impressively cross-refers the reader to other relevant sections of the text.  It is, however, somewhat basic for the more experienced legal advisor who wants to fully understand the materials.  For example, the author could increase the use of cases (perhaps by including them in footnotes) to give the reader a starting point for further research.

Lawyers or directors looking for a practical and up to date summary of this specific area of law need look no further than Directors: Law and Practice.  Whilst it is, at times, over-simplistic for experienced practitioners, it is an invaluable guide for general commercial lawyers or directors.  Whilst the Companies Act 2006 is a substantial piece of legislation, its drafters could have borrowed McGregor's ability to distil fairly complex topics in short and manageable points.
